Terms of Service

These Terms govern your use of autopriseai.com (the "Site") and, when AutoPrise AI software (the "Software") becomes publicly available, your purchase and use of the Software. By using the Site or Software, you agree to these Terms. If you don't agree, please don't use them.

1. Who we are

AutoPrise AI is operated by Sagar Kalra, an individual based in India ("we", "us", "our"). Contact: hello@autopriseai.com.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract.

3. The waitlist

Joining the waitlist is free. By signing up you agree to receive:

• A one-time confirmation email
• A launch notification when AutoPrise AI is publicly available
• Occasional product updates (target: no more than 4 emails/year) until launch

You can unsubscribe at any time by replying to any email or writing to hello@autopriseai.com.

The "founder pricing" mentioned for waitlist members is a discount on the launch list price, applied at the time AutoPrise AI is publicly available for purchase. The exact discount and any time limits will be announced at launch. Founder pricing is non-transferable.

4. License (when AutoPrise AI is publicly available)

When AutoPrise AI is available for purchase, your purchase grants you a perpetual, non-exclusive, non-transferable license, subject to these Terms:

• The Personal License covers one (1) individual to install and use the Software on their personal Windows computers, plus the AutoPrise AI mobile companion app linked to that user's installation.
• A separate license is required for each individual user. Team and enterprise licensing will be available — contact us for details.
• The Software contains components licensed from third parties (including the Google Gemini SDK). Your use of those components is governed by their respective licenses.

5. Annual support fee

The annual support fee is optional. While active, it entitles you to:

• All Software updates released during the active support period — new features, security fixes, improvements
• Direct email support, target response time 2 business days
• Priority consideration for feature requests and bug fixes

If you don't renew the support fee:

• The version you bought continues to work indefinitely
• You stop receiving updates from the date of expiration
• You can renew at any time; back-dated renewal is not required

6. Bring Your Own Key (BYOK)

AutoPrise AI uses your own Google Gemini API key. You are responsible for:

• Obtaining a key from Google Cloud
• All AI usage costs, billed directly to you by Google
• Compliance with Google's terms of service for the Gemini API
• The security of your API key

We do not see, store, log, or proxy your prompts or AI traffic. Your key stays on your machine.

7. Acceptable use

You agree not to:

• Use the Software for unlawful purposes or to violate others' rights
• Reverse engineer, decompile, or disassemble the Software except as expressly permitted by applicable law
• Resell, sublicense, redistribute, or rent the Software
• Use the Software to develop or train competing AI products
• Use the Software in violation of Google's terms of service for the Gemini API
• Use the Software to send unsolicited bulk communications (spam) or other abusive automation

8. Refund policy

For Software license purchases (when available), we offer a 14-day money-back guarantee from the date of purchase. To request a refund, email hello@autopriseai.com within 14 days. We will refund the full license fee. Annual support fees are pro-rated based on time elapsed.

9. Disclaimers

The Site and Software are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose, accuracy, reliability, or non-infringement.

We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components. Output from AI agents is generated by third-party AI models (Google Gemini) and is not guaranteed to be accurate, appropriate, or fit for any specific purpose. You are responsible for reviewing AI output before acting on it, especially for irreversible actions like sending emails, modifying files, deleting data, or making payments.

10. Limitation of liability

To the maximum extent permitted by law:

• Our aggregate liability under these Terms is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD 100.
• We are not liable for indirect, incidental, consequential, special, or exemplary damages — including lost profits, lost data, business interruption, or loss of goodwill — even if we have been advised of the possibility of such damages.

These limits apply even if a remedy fails of its essential purpose.

11. Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, or expenses arising from your use of the Site or Software in violation of these Terms or applicable law.

12. Intellectual property

We own all rights, title, and interest in the Software, including all updates, modifications, and derivative works — except for any open-source components governed by their own licenses (we will publish a list of OSS components alongside the Software at launch).

You retain all rights to your content, your data, and any output the Software generates from your inputs. We claim no ownership of your work.

13. Termination

We may suspend or terminate your access to the Site or Software if you materially breach these Terms. On termination of a paid license for breach, no refund is owed.

You may terminate at any time by uninstalling the Software and emailing us to delete your account or waitlist data.

14. Changes to these Terms

We may update these Terms. Material changes will be announced on this page with a revised effective date and emailed to waitlist members. Continued use after the effective date of changes constitutes acceptance.

15. Governing law

These Terms are governed by the laws of India. Disputes arising under these Terms will be resolved in the courts of New Delhi, India — except where applicable consumer-protection law gives you the right to bring proceedings in your local jurisdiction.
